Terms of service

These Terms of Service ("Terms") govern your access to and use of Bioveris (the "Service"), operated by Bioveris LLC ("Bioveris," "we," "our," or "us"). They form a binding contract between Bioveris and the licensed practitioner, organization, or entity ("you," "Customer") that registers an account or places an order. By creating an account or transacting on the Service, you accept these Terms and the Privacy Policy. If you do not accept them, do not register an account and do not place orders.
§01
Acceptance
By creating an account, accessing the Service, or placing an order, you affirm that (a) you have read and understood these Terms, (b) you have authority to bind the practitioner or organization in whose name you are transacting, and (c) you accept these Terms on that party's behalf.
These Terms incorporate by reference the Privacy Policy and the Compliance posture page, and any order-specific terms presented at checkout. To the extent a conflict exists, an order-specific written agreement signed by an authorized Bioveris officer controls; otherwise, these Terms control.
§02
Eligibility and practitioner gating
The Service is available exclusively to:
- U.S.-licensed physicians (MD, DO), pharmacists, dentists, podiatrists, nurse practitioners (NP), physician assistants (PA), naturopathic doctors (ND) where authorized to procure under state law, and other clinicians with prescriptive or procurement authority in their jurisdiction;
- 503A and 503B compounding pharmacies and entities authorized to receive bulk active pharmaceutical ingredients or research-grade peptides under their state board of pharmacy and applicable federal law; and
- Research institutions, contract research organizations, and qualified investigators authorized to procure research-use-only ("RUO") compounds for non-clinical scientific research.
Account creation requires submission of a current professional credential or institutional authorization. Each license is reviewed by a Bioveris compliance reviewer before any pricing, product detail, or ordering function is enabled for the account. Bioveris may, at its sole discretion, accept, reject, defer, or revoke an account based on credential validity, jurisdictional restrictions, prior conduct, or any indicia of misuse.
You represent and warrant — and re-affirm with each order — that:
- Your license is current, in good standing, and unrestricted as to the products you are purchasing;
- You are acting within the lawful scope of your license, practice act, and jurisdiction; and
- You are not purchasing on behalf of, or for resale to, any ineligible third party.
We may suspend or terminate access at any time, without notice and without refund of in-flight orders, if any of the above representations becomes inaccurate.
§03
Account responsibilities
You are responsible for (a) the accuracy and ongoing currency of the information you provide, including license renewals and address changes; (b) the confidentiality of your credentials and any access tokens; (c) all activity that occurs under your account, whether or not authorized by you; and (d) promptly notifying us at security@bioveris.co of any suspected unauthorized access.
Accounts are issued to a verified practitioner or to an authorized representative of a verified organization. Sharing credentials with unverified parties, transferring an account, or attempting to use the Service through an automated agent without our prior written consent is prohibited.
§04
Product use and investigational compounds
Products on the Service are sold for the use described in their applicable Certificate of Analysis ("COA") and product detail page, including:
- Clinical use by appropriately licensed practitioners within their scope of practice; and/or
- Research use only ("RUO") by qualified investigators in non-clinical scientific settings.
Several products listed on the Service are investigational compounds that have not been approved by the U.S. Food and Drug Administration ("FDA") for general clinical use. Where applicable, those products are flagged with a compliance designation in the catalog, and an on-screen disclaimer must be confirmed before they can be added to a cart. Confirmation is logged against your account.
You acknowledge and agree that:
- The determination of clinical appropriateness — including diagnosis, indication, patient selection, dosing, route, monitoring, informed consent, and discontinuation — is the sole responsibility of the licensed practitioner placing the order, not Bioveris;
- Statements on the Service, in product literature, and in any communication from Bioveris have not been evaluated by the FDA, and Bioveris does not represent that any product is approved to diagnose, treat, cure, mitigate, or prevent any disease or condition; and
- Products are not for human consumption or administration by, or under the supervision of, any person who is not a licensed practitioner acting within the lawful scope of their practice, or a qualified researcher acting in a non-clinical research context.
You will not (and will not permit any third party to): (i) resell or distribute products to ineligible parties; (ii) repackage or re-label products for clinical sale outside the scope permitted by your license and applicable law; (iii) use any product for the development or manufacture of controlled substances, chemical or biological weapons, or any unlawful purpose; or (iv) make on your own marketing channels any claim about a product that would, if made by Bioveris, constitute an unapproved-new-drug claim under the Federal Food, Drug, and Cosmetic Act.
§05
Orders, pricing, and invoices
All orders are offers to purchase, accepted only when Bioveris confirms the order in writing or tenders the shipment. Acceptance is conditional on inventory availability, completion of compliance verification, and our right to refuse any order in our sole discretion.
Pricing is shown in U.S. dollars and may change without notice. The price applicable to a given order is the price displayed when you submit the order, except in the case of a typographical or system error, in which case we may correct the price, contact you for confirmation, or cancel the order and issue a refund of any amounts collected.
Invoice-based checkout is the default at launch. Net payment terms appear on each invoice. Past-due balances are subject to a service charge of 1.5% per month (or the maximum permitted by law, whichever is less), and Bioveris may suspend account access until paid balances are cured.
You are responsible for all applicable state, local, and use taxes. Where Bioveris is required to collect and remit, the collected amount will appear on the invoice; where you are required to self-remit, the responsibility rests with you.
§06
Shipping, restricted states, and temperature handling
Products ship from the United States via tracked carriers selected by Bioveris. Risk of loss and title transfer on tender to the carrier; you are responsible for ensuring delivery acceptance at the address on file.
Restricted destinations.Certain peptides and investigational compounds cannot be shipped to certain U.S. states or to addresses we cannot verify as licensed-practitioner premises. The Service's checkout maintains a per-SKU, per-state allowlist; orders to restricted destinations are blocked at checkout with an on-screen explanation. If you believe a research authorization, institutional registration, or other exception applies, contact compliance@bioveris.co before placing the order.
Temperature-sensitive products. Many peptides require refrigerated or controlled-room-temperature handling. We ship with appropriate insulation and packs; we are not responsible for excursions caused by (a) the carrier, (b) refusal of delivery, or (c) failure to receive the package upon delivery. Visibly compromised shipments must be reported within 72 hours of carrier-confirmed delivery, with photographs of the carton, packing materials, and product.
International orders are not currently accepted.
§07
Returns, refunds, and chain of custody
Due to potency, sterility, and chain-of-custody constraints, all sales of opened, partially used, or temperature-sensitive products are final. Unopened, non-temperature-sensitive products may be eligible for return within seven (7) days of delivery, at our discretion, subject to a restocking fee of up to 15%; once a package has been outside our chain of custody, we cannot certify the product for resale and reserve the right to refuse the return.
Damaged, mislabeled, or visibly compromised shipments must be reported within 72 hours of carrier-confirmed delivery to support@bioveris.co. After review, we will, at our discretion, replace the affected items, issue an account credit, or issue a refund.
Lost shipments. If a carrier marks a shipment as delivered but you cannot locate it, please check around the delivery area and with any building or front-desk personnel, and allow 24 hours for late-day delivery. Where the delivery confirmation indicates delivery, we will work with the carrier to investigate but are not obligated to reship at no cost. Where the carrier confirms non-delivery and the package is not recovered, we will reship at no cost.
Chargebacks. Unsubstantiated chargebacks may be treated as fraudulent and may result in account suspension and referral to the relevant payment processor. By placing an order, you authorize us to share order, license-verification, and shipment-delivery records with payment processors and, where required, law enforcement.

Refusal of service and suspension
We may, at our sole discretion and without prior notice, suspend, restrict, or terminate any account, refuse any order, or cancel an in-flight order, for any reason permitted by law, including: falsified or expired credentials; reasonable suspicion of resale, diversion, or misuse; violation of state or federal law; abuse of the Service's terms, support team, or chargeback systems; or non-payment. Where we suspend an account, we will, where lawful and operationally feasible, notify the practitioner of record and complete any compliant in-flight orders prior to closure.

Disclaimers
THE SERVICE AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, FOR THE USE DESCRIBED IN THE APPLICABLE COA AND PRODUCT DETAIL PAGE. EXCEPT AS REQUIRED BY APPLICABLE LAW AND TO THE FULLEST EXTENT PERMITTED, PURITY SCIENCE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS (THE "PURITY PARTIES") DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
PURITY SCIENCE DOES NOT PROVIDE MEDICAL ADVICE, CLINICAL GUIDANCE, DIAGNOSIS, OR TREATMENT RECOMMENDATIONS. NOTHING ON THE SERVICE — INCLUDING PRODUCT DESCRIPTIONS, EDUCATIONAL CONTENT, REFERENCE MONOGRAPHS, AND COMMUNICATIONS WITH OUR STAFF — CONSTITUTES THE PRACTICE OF MEDICINE, PHARMACY, OR NURSING, OR THE FORMATION OF A PRACTITIONER-PATIENT RELATIONSHIP. THE LICENSED PRACTITIONER RETAINS SOLE RESPONSIBILITY FOR CLINICAL JUDGMENT.
§10
Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE PURITY PARTIES, ARISING OUT OF OR RELATING TO THE SERVICE, ANY PRODUCT, OR THESE TERMS, EXCEED THE AMOUNT PAID BY YOU TO PURITY SCIENCE FOR THE ORDER(S) GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
IN NO EVENT WILL THE PURITY PARTIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY ON WHICH THE CLAIM IS BASED.
THESE LIMITATIONS DO NOT APPLY TO (A) GROSS NEGLIGENCE OR WILLFUL MISCONDUCT, OR (B) ANY LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED UNDER APPLICABLE LAW.
§11
Indemnification
You will defend, indemnify, and hold harmless the Bioveris Parties from and against any third-party claim, demand, action, suit, proceeding, loss, damage, fine, penalty, settlement, judgment, cost, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your or your patients' use, administration, prescription, or distribution of any product; (c) your violation of any law, regulation, license condition, or practice act; (d) any clinical decision, dosing, or off-label use by you or any practitioner acting under your direction; (e) inaccurate or fraudulent information you provided during eligibility or order verification; or (f) any third-party claim that an asserted patient or research subject was injured by a product, where the proximate cause is the practitioner's clinical judgment or handling rather than a manufacturing defect arising while the product was under our chain of custody.
We may, at our option, assume control of the defense of any claim subject to indemnification, in which case you will cooperate at your expense. You may not settle any indemnified claim without our prior written consent, which will not be unreasonably withheld.
§12
Governing law and dispute resolution
These Terms are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws principles.
Informal resolution.Before initiating any formal proceeding, the parties will attempt in good faith to resolve any dispute through written notice to the other party (in Bioveris's case, to legal@bioveris.co) and a sixty (60) day informal-resolution period.
Binding arbitration. Any dispute not resolved informally will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules (for claims under $250,000) or Comprehensive Arbitration Rules (for claims of $250,000 or more), before a single arbitrator, in Cheyenne, Wyoming, in English. The Federal Arbitration Act governs the interpretation and enforcement of this section.
Class-action and jury-trial waiver. EACH PARTY AGREES THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, NOT AS A CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING, AND EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL, TO THE FULLEST EXTENT PERMITTED BY LAW.
Opt-out. You may opt out of the arbitration and class-waiver provisions by sending written notice to legal@bioveris.co within thirty (30) days of first accepting these Terms. Opting out does not waive any other provision.
Equitable relief. Either party may seek injunctive or other equitable relief in a court of competent jurisdiction in Cheyenne, Wyoming, in respect of intellectual-property claims or any breach that would cause irreparable harm.
Time bar. Any cause of action arising out of or related to the Service must be commenced within one (1) year after the cause of action accrues, except where prohibited by law.
§13
Intellectual property and DMCA
All content on the Service — product descriptions, COAs, monographs, photography, code, design system, trademarks, and the "look and feel" — is the property of Bioveris or its licensors, protected by U.S. and foreign intellectual property law. You receive a limited, non-exclusive, non-transferable, revocable license to access and use the Service to manage your account and your orders. You may not scrape, reverse engineer, or republish content except as necessary for ordinary browser-based use.
DMCA notices. If you believe your copyrighted work has been infringed on the Service, send a notice that complies with 17 U.S.C. §512(c)(3) to our Designated Agent at legal@bioveris.co. We will respond to compliant notices and counter-notices in accordance with the DMCA, and may terminate the accounts of repeat infringers in appropriate circumstances.
§14
Force majeure
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disaster, fire, flood, severe weather, pandemic, war, civil unrest, government order, embargo, supply-chain or carrier disruption, internet or telecommunications failure, cyber-attack, or labor disturbance. The affected party will use commercially reasonable efforts to mitigate the impact and resume performance.
§15
Changes to these Terms
We may update these Terms over time. Material changes will be posted on this page with the new effective date and, where appropriate, communicated to active accounts by email. Continued use of the Service after the new effective date constitutes acceptance of the updated Terms. If you do not accept an update, you must stop using the Service and may close your account by contacting support@bioveris.co.
§16
Miscellaneous
Entire agreement. These Terms, together with the Privacy Policy and any order-specific written agreement signed by an authorized officer of Bioveris, are the entire agreement between the parties on the subject matter and supersede prior or contemporaneous communications.
Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision will be reformed to the minimum extent needed to make it enforceable.
No waiver.A party's failure to enforce a provision is not a waiver of its right to enforce that provision later.
Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms to any affiliate or successor in connection with a merger, acquisition, financing, or sale of all or substantially all of our assets.
Notices. Notices to Bioveris must be sent to legal@bioveris.co. Notices to you may be sent to the email address on your account, and are deemed received on the date of transmission.
Headings. Section headings are for convenience only and do not affect interpretation.
Survival. Sections §04 (Product use and investigational compounds), §06 (last paragraph re: risk of loss), §07 (Returns, refunds, chain of custody), §09 (Disclaimers), §10 (Limitation of liability), §11 (Indemnification), §12 (Governing law and dispute resolution), §13 (Intellectual property and DMCA), and §16 (Miscellaneous) survive termination or expiration of these Terms.
